enforcement with a focus on preventing solicitation of valuable technical
employees by clients or third parties, protection of intellectual property

and settle disputes involving client, employment, vendor and lease agreements,
invoicing and collections, intellectual property rights and insurance claims.
Development
of streamlined electronic contract tracking system integrating all departments
involved in the contract process including accounting, sales, legal, marketing
and management.
Counsel
management on human resources materials including drafting, revising and
implementing employee manuals and corporate policies, interview and termination
of employment procedures, FLSA, employee stock plans, workplace conduct and
misconduct, releases, settlements, non-compete and non-solicitation issues,
independent contractor/employee tax status issues and reductions in force
issues.
Advise corporate executives on litigation matters as well as spearhead and manage outside counsel including firms that represented company as seller in several software acquisition, asset transfer transactions and sale of subsidiary; civil litigation firms that successfully defended corporation in discrimination lawsuit and wrongful discharge case; securities firm representing corporation in taking privately held subsidiaries public; and several litigation firms that successfully protected the corporations rights against former clients and employees who breached agreements with the corporation.
